1. Agreement
These Terms of Service (“Terms”) govern your access to and use of PIDMate software, websites, and related services (collectively, the “Service”), operated by Enginuity Apps (“PIDMate,” “we,” “us,” or “our”).
By creating an account, purchasing a subscription, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
2. Description of the Service
PIDMate is professional engineering software for PID controller tuning, process identification, and related control-system analysis. The Service may be offered as a desktop application and may include cloud features such as account sign-in, subscription management, and synchronization of account or license data.
The Service is intended for use by qualified engineers and control-systems professionals. It is a tool to assist analysis and design of proportional-integral-derivative controllers; it does not replace professional judgment, site acceptance testing, or compliance with applicable standards.
3. Eligibility and Accounts
3.1 Age. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
3.2 Account. You may need an account to access certain features. You agree to provide accurate information and keep it current.
3.3 Credentials. You are responsible for safeguarding your sign-in credentials and for all activity under your account. Notify us promptly at [support@pidmate.com] if you suspect unauthorized access.
3.4 Sign-in methods. The Service may support sign-in through third-party identity providers (e.g., Google, Apple, Microsoft) or email link. Your use of those providers is also subject to their terms and policies.
4. Subscriptions, Seats, and Payment
4.1 Subscription plans. Access to paid features may require an active subscription. Plans may differ by affiliation (e.g., Industry, Academic, Student, Partner) and by number of seats (authorized users), as described in the application or on our website at the time of purchase.
4.2 Pricing. Prices are displayed in the app before checkout and may vary by seat count, billing interval (e.g., yearly), promotions, or affiliation. Taxes may be added at checkout as required by law.
4.3 Payment processor. Payments are processed by Paddle.com (or its affiliates), which acts as merchant of record for applicable transactions. Your payment is subject to Paddle’s terms and checkout flow. We do not store full payment card details on our servers.
4.4 Renewals. When you opt-in, subscriptions renew automatically for the selected billing period unless canceled in accordance with Paddle’s and our cancellation procedures. You authorize recurring charges until you cancel.
4.5 Seat limits. Your subscription entitles you to use the Service up to the number of seats purchased. You may not share credentials or exceed licensed seats. We may enforce limits through technical measures, including cloud-stored entitlement data.
4.6 Free or promotional access. We may offer free tiers, trials, or promotional pricing. We may modify or discontinue them at any time.
4.7 Refunds. Refund eligibility is governed by applicable law and our refund policy stated at purchase or on [https://www.pidmate.com]. Unless required by law, fees are non-refundable once a billing period has begun.
5. Academic and Institutional Verification
If you select an Academic or Student affiliation (or similar), you may be asked to consent to verification of your status with your institution. By consenting, you authorize us to contact your institution using the information you provide. We may deny or revoke discounted or academic plans if verification fails or information is inaccurate.
6. Acceptable Use
You agree not to:
Use the Service in violation of any law or regulation
Reverse engineer, decompile, or attempt to extract source code except where permitted by law
Circumvent license, seat, or access controls
Upload malware or interfere with the Service’s operation
Use the Service for safety-critical systems without independent validation and appropriate safeguards
Misrepresent your affiliation, institution, or eligibility for discounted plans
We may suspend or terminate access for conduct we reasonably believe violates these Terms or poses risk to the Service or others.
7. Engineering Disclaimer and Assumption of Risk
READ CAREFULLY. This section supplements your existing product disclaimer.
7.1 No warranty on results. PIDMate uses established methods, but we do not guarantee optimal control performance, stability, safety, or fitness for any particular process or installation.
7.2 Your responsibility. You are solely responsible for:
Verifying all calculations, models, and recommendations
Validating performance in your real plant or system
Implementing alarms, interlocks, limits, and safety systems
Complying with applicable codes, standards, and employer or client requirements
Obtaining independent professional review when appropriate
7.3 Safety-critical use. Do not rely on the Service alone for safety-critical or life-safety applications. The Service is not a substitute for functional safety design, SIL/PL analysis, or regulatory approval.
7.4 Process data. You retain responsibility for engineering data you import or create. Back up your data and protect confidential or export-controlled information.
8. Intellectual Property
8.1 Our rights. The Service, including software, documentation, branding, and content we provide, is owned by PIDMate or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during an active subscription or as otherwise permitted.
8.2 Your data. You retain ownership of engineering data and content you submit. You grant us a license to host, process, and transmit that data only as needed to operate the Service (e.g., sync settings, enforce subscription, support).
8.3 Feedback. If you provide suggestions or feedback, we may use them without obligation to you.
9. Privacy and Cloud Services
Your use of the Service is also governed by our Privacy Policy, which describes how we collect and use personal data (e.g., account email, affiliation, country, subscription status, and technical logs).
The Service may use third-party infrastructure (e.g., Google Firebase for authentication and data storage, Paddle for billing). Their processing is subject to their policies where applicable.
10. Availability and Changes
10.1 Availability. We strive for reliable operation but do not guarantee uninterrupted or error-free service. Maintenance, updates, or third-party outages may affect availability.
10.2 Changes. We may modify the Service or these Terms. We will provide notice of material changes (e.g., in-app notice, email, or website). Continued use after the effective date constitutes acceptance, except where law requires otherwise.
11. Termination
You may stop using the Service and cancel subscriptions through the applicable billing channel.
We may suspend or terminate your account if you breach these Terms, fail to pay, or if we discontinue the Service. Upon termination, your license ends and you must cease use. Sections that by nature should survive (e.g., disclaimers, liability limits, dispute terms) will survive.
12. Disclaimers
EXCEPT AS EXPRESSLY STATED IN WRITING, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, PRODUCTION, OR PROCESS DOWNTIME, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
14. Indemnification
You will defend, indemnify, and hold harmless PIDMate and its officers, directors, employees, and agents from claims arising out of your use of the Service, your engineering data or implementations, your violation of these Terms, or your violation of any law or third-party rights—except to the extent caused by our gross negligence or willful misconduct.
15. Export and Sanctions
You represent that you are not located in, or a national of, any country subject to comprehensive embargo or sanctions, and that you are not on any restricted-party list. You will not use the Service in violation of export control or sanctions laws.
16. Governing Law and Disputes
These Terms are governed by the laws of the state of Texas / United States of America, without regard to conflict-of-law rules.
Any dispute will be resolved in the courts of Dallas county, Texas / United Stated of America, unless mandatory consumer law in your country requires otherwise.
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules, and judgment on the award may be entered in any court having jurisdiction. The arbitration shall be held in Dallas, Texas (or, at the Company’s option, by telephone or videoconference, or in another location reasonably convenient to both parties). The arbitrator shall apply Texas law without regard to conflict-of-law rules, except as the FAA requires. Either party may bring qualifying claims in small claims court in Dallas County, Texas. Class actions and class arbitrations are not permitted.
17. General
Entire agreement. These Terms, the Privacy Policy, and any order or plan description form the entire agreement regarding the Service.
Severability. If any provision is unenforceable, the remainder stays in effect.
No waiver. Failure to enforce a provision is not a waiver.
Assignment. We may assign these Terms; you may not assign without our consent.
